Welcome to Cannoneer Apparel.

These Terms of Service ("Terms," "Terms of Service," or "Agreement") govern your access to and use of the Cannoneer Apparel website, online store, products, services, content, features, applications, and related services (collectively, the "Services").

Throughout these Terms, the words "Cannoneer Apparel," "we," "us," and "our" refer to Cannoneer Apparel. The words "you," "your," "customer," or "user" refer to any person who accesses, visits, interacts with, or purchases products through our Services.

Cannoneer Apparel operates its online store using Shopify, which provides the ecommerce platform that allows us to sell products and services to you. We may use Printify and independent third-party production and fulfillment providers to manufacture, print, package, and ship products purchased through our store.

By accessing, browsing, purchasing from, creating an account with, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the policies incorporated into them.

Our policies include:

  • Our Privacy Policy, available through the Privacy Policy page on our website;

  • Our Refund and Return Policy, available through the Refund Policy page on our website;

  • Our Shipping Policy, available through the Shipping Policy page on our website; and

  • Any additional policies, rules, or terms specifically identified on our website or during checkout.

If you do not agree with these Terms, our Privacy Policy, or our other applicable policies, you should not access or use the Services or place an order with Cannoneer Apparel.


SECTION 1 — ELIGIBILITY, ACCESS, AND ACCOUNT RESPONSIBILITY

By using the Services, you represent that you are legally capable of entering into a binding agreement under applicable law.

You must be at least the age of majority in the jurisdiction in which you reside to make purchases through our Services unless applicable law permits a minor to purchase products with the involvement and consent of a parent or legal guardian.

If you permit a minor to use our Services, you are responsible for the minor's use of the Services and for ensuring that the minor complies with these Terms.

To use certain features of our Services, including purchasing products, you may be asked to provide information such as your:

  • Name;

  • Email address;

  • Billing information;

  • Payment information;

  • Shipping address;

  • Telephone number; or

  • Other information necessary to process your order.

You represent and warrant that all information you provide is accurate, complete, current, and truthful.

You agree to promptly update information when necessary so that we can properly process your orders and communicate with you.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for activity occurring through your account except where applicable law provides otherwise.

You may not sell, transfer, assign, sublicense, or otherwise provide your account to another person without our prior written permission.

We reserve the right to suspend, restrict, or terminate accounts that we reasonably believe are being used fraudulently, unlawfully, abusively, or in violation of these Terms.


SECTION 2 — OUR PRODUCTS

Cannoneer Apparel primarily offers apparel and merchandise featuring original or licensed designs, graphics, artwork, slogans, humor, and other creative content.

Many of our products are manufactured using a print-on-demand business model.

This means products may be manufactured specifically after an order is submitted rather than being stocked in advance in a traditional retail warehouse.

Products may therefore be produced, printed, packaged, and shipped through third-party production providers, including providers connected through Printify.

We make reasonable efforts to accurately represent our products on our website.

However, you acknowledge that actual product appearance may vary slightly from images displayed online.

Variations may result from:

  • Monitor and screen settings;

  • Mobile device displays;

  • Photography and lighting;

  • Manufacturing processes;

  • Printing processes;

  • Fabric characteristics;

  • Normal production tolerances;

  • Product availability;

  • Production facility differences;

  • Print placement tolerances; and

  • Other reasonable manufacturing variations.

We do not guarantee that the color displayed on your device will exactly match the physical product.

Product descriptions, specifications, colors, sizes, materials, designs, availability, and other information may be changed at any time without notice.

We reserve the right to discontinue any product or design at any time.

We may also limit the quantity of products available for purchase by customer, order, household, geographic location, or jurisdiction.


SECTION 3 — PRODUCT SIZING AND CUSTOMER RESPONSIBILITY

You are responsible for reviewing all product information before placing your order.

This includes reviewing:

  • Product type;

  • Size;

  • Color;

  • Style;

  • Quantity;

  • Product description;

  • Size chart; and

  • Other available product options.

Customers are strongly encouraged to review applicable size charts before ordering.

Because many Cannoneer Apparel products are manufactured specifically for each order, selecting the wrong size, color, style, or product may not qualify for a refund, replacement, or exchange.

Unless otherwise required by law or specifically stated in our Refund Policy, Cannoneer Apparel does not guarantee returns or exchanges for customer ordering mistakes or changes of mind.


SECTION 4 — PRINT-ON-DEMAND PRODUCTION

Cannoneer Apparel uses a print-on-demand fulfillment model for certain products.

When you submit an order, your purchase may be transmitted to a third-party production provider for manufacturing.

Production may begin shortly after payment is successfully processed.

Once production has begun, an order may no longer be eligible for cancellation, modification, or an address change.

Third-party production facilities may differ depending on:

  • Product availability;

  • Location;

  • Production capacity;

  • Shipping destination;

  • Manufacturing requirements;

  • Product type; and

  • Operational considerations.

As a result, products purchased in the same order may occasionally be manufactured at different facilities or shipped separately.


SECTION 5 — ORDERS AND ORDER ACCEPTANCE

When you submit an order through our website, you are making an offer to purchase the selected products.

Submitting an order does not necessarily mean that Cannoneer Apparel has accepted that order.

We reserve the right to accept, refuse, limit, or cancel orders at our discretion, subject to applicable law.

Orders may be rejected or canceled for reasons including, but not limited to:

  • Product availability;

  • Pricing errors;

  • Payment problems;

  • Fraud concerns;

  • Suspected unauthorized transactions;

  • Incorrect customer information;

  • Shipping restrictions;

  • Technical errors;

  • Duplicate orders;

  • Promotional abuse;

  • Legal requirements;

  • Production limitations;

  • Third-party fulfillment issues; or

  • Other circumstances outside our reasonable control.

If we cancel an order after your payment has been successfully processed, we will generally refund the amount actually charged for the canceled portion of the order through the applicable payment method, subject to applicable law.

You are responsible for reviewing your order before submitting payment.

Please verify your:

  • Product;

  • Size;

  • Color;

  • Quantity;

  • Shipping address;

  • Billing information; and

  • Email address.

We are not responsible for customer errors in an order or shipping information, except where otherwise required by law.


SECTION 6 — CANCELLATIONS AND ORDER CHANGES

Because products may be sent to production shortly after purchase, cancellation and modification opportunities may be limited.

Requests to cancel or modify an order should be submitted as soon as possible by contacting:

We will make reasonable efforts to accommodate requests received before production begins.

Once production has begun, cancellation or modification may no longer be possible.

A request to cancel or modify an order does not guarantee that the request can be fulfilled.


SECTION 7 — PRICES, PAYMENT, TAXES, AND BILLING

All prices displayed by Cannoneer Apparel are subject to change without notice.

The price charged for a product will generally be the price displayed when the order is submitted, subject to correction of obvious pricing or technical errors.

Unless specifically stated otherwise, posted prices may not include:

  • Applicable sales taxes;

  • Shipping charges;

  • Customs duties;

  • Import charges;

  • Brokerage charges; or

  • Other government-imposed charges.

You agree to provide complete and accurate billing and payment information.

You represent and warrant that:

  1. You are authorized to use the payment method submitted;

  2. All payment information you provide is accurate;

  3. The payment method is valid;

  4. You have permission to use the payment method; and

  5. You agree to pay all charges properly associated with your order.

Payment processing may be performed by Shopify and/or third-party payment processors.

Cannoneer Apparel does not intentionally retain complete payment card information when such information is processed directly by third-party payment providers.

You may be subject to the terms and privacy policies of those payment providers.

Applicable taxes may be calculated and collected during checkout as required by applicable law.


SECTION 8 — PROMOTIONS, COUPONS, AND DISCOUNTS

Cannoneer Apparel may offer promotional discounts, coupon codes, special offers, limited-time pricing, free-shipping promotions, bundles, giveaways, or other promotional programs.

Promotions may have additional terms.

Unless otherwise stated:

  • Promotional codes may not be combined;

  • Promotions may have expiration dates;

  • Promotions may be limited to certain products;

  • Promotions may be limited to certain customers or quantities;

  • Promotions may not be applied retroactively; and

  • Promotions may not have cash value.

We reserve the right to modify or discontinue promotions where permitted by law.

We may refuse promotional benefits when we reasonably believe that a promotion has been abused, fraudulently obtained, or used in violation of its terms.


SECTION 9 — SHIPPING AND DELIVERY

Cannoneer Apparel uses third-party fulfillment and shipping providers.

Shipping and delivery timeframes provided on our website are estimates unless specifically stated otherwise.

Delivery dates are not guaranteed.

Production and delivery may be affected by:

  • Manufacturing delays;

  • Shipping carrier delays;

  • Weather;

  • Natural disasters;

  • Customs processing;

  • Holidays;

  • Transportation interruptions;

  • Incorrect addresses;

  • Carrier routing;

  • Government actions;

  • Labor disruptions;

  • Supply shortages; or

  • Other circumstances outside our reasonable control.

We are not responsible for shipping delays caused by events outside our reasonable control.

You are responsible for providing an accurate, complete, and deliverable shipping address.

If an order cannot be delivered because an incorrect or incomplete address was provided, additional charges may apply for reshipment.

International customers may be responsible for customs duties, import taxes, brokerage fees, and other charges imposed by the destination country.

Where applicable, separate portions of an order may ship separately.

Printify states that merchants are responsible for ensuring delivery addresses are valid and accurate. Printify also states that shipping delays caused by carriers generally do not qualify for reprints or refunds unless the order is determined to have been lost in transit.


SECTION 10 — PRINTIFY FULFILLMENT AND ORDER ISSUES

Cannoneer Apparel may use Printify to connect our Shopify store with third-party printing and fulfillment facilities.

Printify's current customer-facing return guidance states that because products are produced on demand, returns and exchanges are generally not supported when a customer orders the wrong size or color or simply changes their mind.

Printify currently provides for a free reprint or refund for qualifying damaged products or manufacturing errors when the issue is reported within 30 days of delivery, generally with clear photographic evidence.

Cannoneer Apparel intends to maintain a customer policy that is substantially aligned with those Printify requirements for print-on-demand products.

Current Printify guidance also indicates that eligible issues should generally be reported through the applicable support/issue process and that documentation, including photographs, may be required.

Printify recommends that independent stores align their store policies as closely as practical with Printify's policies in order to minimize costs and complications associated with unsupported returns or refunds.

If Printify changes its policies, Cannoneer Apparel may update its policies accordingly.


SECTION 11 — REFUNDS, RETURNS, EXCHANGES, AND DEFECTIVE PRODUCTS

Our Refund and Return Policy is incorporated into these Terms.

Cannoneer Apparel generally follows the print-on-demand return and refund framework used by Printify for products fulfilled through Printify.

Because products are manufactured specifically after purchase, we generally do not accept returns or exchanges simply because:

  • You selected the wrong size;

  • You selected the wrong color;

  • You selected the wrong product;

  • You changed your mind;

  • You no longer want the product; or

  • You expected the product to look different from an online image.

However, eligible products may qualify for a replacement, reprint, refund, or other remedy when there is:

  • A manufacturing defect;

  • A significant printing error;

  • Product damage;

  • An incorrect product being fulfilled;

  • A significant fulfillment error; or

  • Another issue covered by our applicable policy or required by law.

Issues should generally be reported within 30 days of delivery.

Customers may be required to provide:

  • Order number;

  • Description of the problem;

  • Photographs of the affected product;

  • Photographs of packaging;

  • Other information reasonably necessary to investigate the issue.

For certain issues, additional documentation may be required.

Printify states that minor print-placement variation on some products does not necessarily constitute a defect and that certain requests may be excluded when the issue results from artwork files, design limitations, bleed areas, or failure to follow applicable design guidelines.

Cannoneer Apparel reserves the right to evaluate each claim in accordance with our policies, the applicable fulfillment provider requirements, and applicable law.

Nothing in this section limits consumer rights that cannot legally be waived.


SECTION 12 — PRODUCT QUALITY AND MANUFACTURING VARIATIONS

Because our merchandise may be manufactured on demand by third-party production facilities, reasonable manufacturing variations may occur.

These may include variations in:

  • Print placement;

  • Print coloration;

  • Fabric texture;

  • Garment measurements;

  • Manufacturing tolerances;

  • Packaging;

  • Production facility; and

  • Other physical characteristics.

Minor variations that fall within ordinary manufacturing tolerances are not necessarily considered defects.

We will evaluate reported issues based on the specific product and circumstances.


SECTION 13 — INTELLECTUAL PROPERTY

All materials made available through the Services may include:

  • Cannoneer Apparel trademarks;

  • Brand names;

  • Logos;

  • Slogans;

  • Designs;

  • Graphics;

  • Illustrations;

  • Original artwork;

  • Product descriptions;

  • Photographs;

  • Product mockups;

  • Video;

  • Audio;

  • Written content;

  • Website design;

  • Page layouts;

  • Product listings;

  • Marketing materials; and

  • Other intellectual property.

Unless otherwise stated, these materials are owned by Cannoneer Apparel, its licensors, or other applicable rights holders.

Our intellectual property is protected by applicable copyright, trademark, trade dress, and other intellectual property laws.

You may access and use the Services for lawful personal shopping purposes.

You may not, without our prior written permission:

  • Copy our artwork;

  • Reproduce our designs;

  • Sell our artwork;

  • Distribute our designs;

  • Modify our artwork for commercial use;

  • Create derivative products from our designs;

  • Download and redistribute our designs;

  • Scrape our website;

  • Republish our product listings;

  • Use our trademarks commercially;

  • Create confusingly similar branding; or

  • Suggest an endorsement or affiliation with Cannoneer Apparel.

All rights not expressly granted are reserved.


SECTION 14 — TRADEMARKS

"Cannoneer Apparel" and related names, logos, slogans, designs, product names, and other branding may constitute trademarks, trade names, service marks, or other proprietary rights belonging to Cannoneer Apparel or its licensors.

You may not use our trademarks without prior written permission where such permission is required.

Third-party names, logos, and trademarks appearing on the Services belong to their respective owners.


SECTION 15 — CUSTOMER REVIEWS, PHOTOGRAPHS, AND FEEDBACK

Customers may submit reviews, comments, photographs, testimonials, suggestions, ideas, questions, or other material to Cannoneer Apparel ("User Content").

By submitting User Content, you represent that:

  1. You own the content or have sufficient rights to submit it;

  2. The content does not violate another person's rights;

  3. The content does not infringe copyright, trademark, privacy, publicity, or other rights;

  4. The content is not knowingly false or misleading;

  5. The content is not unlawful;

  6. The content does not contain malicious software; and

  7. You have authority to grant the rights described in these Terms.

By submitting User Content, you grant Cannoneer Apparel a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, publish, display, distribute, and otherwise use the content for lawful business purposes, including marketing, advertising, promotion, website operation, social media, and customer communications.

We may remove User Content that we reasonably believe violates applicable law, these Terms, intellectual property rights, privacy rights, or the rights of others.

We are not required to publish, preserve, or compensate you for User Content.

You remain responsible for the content you submit.


SECTION 16 — COMMUNITY AND SOCIAL MEDIA CONDUCT

Cannoneer Apparel may maintain social media pages, online communities, comment sections, or other interactive features.

When interacting with Cannoneer Apparel or other users, you agree not to:

  • Harass or threaten others;

  • Intentionally target individuals with abusive conduct;

  • Impersonate another person;

  • Publish private personal information;

  • Submit fraudulent claims;

  • Spam other users;

  • Upload malicious software;

  • Infringe another person's intellectual property;

  • Promote unlawful conduct;

  • Manipulate reviews;

  • Disrupt community discussions; or

  • Otherwise violate applicable laws or these Terms.

Cannoneer Apparel may remove content, restrict accounts, or block users when reasonably necessary to protect the community, customers, business, or Services.


SECTION 17 — OPTIONAL TOOLS AND THIRD-PARTY SERVICES

Our Services may use third-party services, applications, software, payment processors, analytics platforms, advertising services, shipping providers, fulfillment providers, and other technology.

These services may include integrations provided by Shopify, Printify, payment providers, shipping carriers, email services, social media platforms, and other providers.

Third-party services may be governed by their own terms and privacy policies.

Cannoneer Apparel does not control all third-party services and cannot guarantee their continued availability, performance, security, accuracy, or reliability.

Your use of a third-party service may be subject to a separate agreement between you and that provider.

Where permitted by law, Cannoneer Apparel is not responsible for the independent acts, omissions, policies, or failures of third-party providers.


SECTION 18 — THIRD-PARTY LINKS

The Services may contain hyperlinks or embedded features provided by third parties.

These links are provided for convenience.

We do not necessarily endorse or control third-party websites or services.

Cannoneer Apparel is not responsible for:

  • Third-party content;

  • Third-party privacy practices;

  • Third-party security;

  • Third-party products;

  • Third-party services;

  • Third-party pricing;

  • Third-party advertising;

  • Third-party transactions; or

  • Any loss allegedly arising from your use of third-party websites.

You access third-party websites at your own risk.


SECTION 19 — SHOPIFY RELATIONSHIP

Cannoneer Apparel's store is powered by Shopify.

Shopify provides the ecommerce technology used to operate our online store.

Shopify is not the seller of Cannoneer Apparel products.

Your purchase is a transaction between you and Cannoneer Apparel.

Shopify is not responsible for:

  • Our products;

  • Our designs;

  • Product quality;

  • Product descriptions;

  • Our pricing;

  • Refunds;

  • Returns;

  • Fulfillment;

  • Shipping;

  • Customer service;

  • Our business practices;

  • Our compliance with applicable laws; or

  • Disputes between Cannoneer Apparel and customers.

Shopify's own services are governed by Shopify's applicable terms and policies.

Shopify's current merchant terms expressly state that merchants are responsible for their stores, goods and services, customer relationships, refunds, returns, fulfillment, taxes, legal compliance, and customer-facing store policies.


SECTION 20 — PRIVACY

Cannoneer Apparel's collection, use, disclosure, and protection of personal information is governed by our Privacy Policy.

Our Privacy Policy is available through the Privacy Policy page on our website.

Because the store is hosted using Shopify, Shopify may process information relating to your use of the store as part of providing its platform and services.

We may also share information with third-party providers where reasonably necessary to:

  • Process payments;

  • Manufacture products;

  • Fulfill orders;

  • Ship products;

  • Provide customer service;

  • Prevent fraud;

  • Operate our website;

  • Provide analytics;

  • Comply with legal obligations; or

  • Otherwise provide the Services.

Third-party providers may process information in locations outside your state or country.

SECTION 21 — ACCURACY, ERRORS, AND OMISSIONS

Information on our Services may occasionally contain typographical errors, technical errors, inaccuracies, or omissions relating to:

  • Product descriptions;

  • Prices;

  • Discounts;

  • Promotions;

  • Shipping charges;

  • Delivery estimates;

  • Availability;

  • Product specifications;

  • Taxes; or

  • Other information.

We reserve the right to correct errors, update information, modify listings, cancel affected orders, or take other appropriate action when permitted by law.

We are not required to update every piece of information merely because it has become outdated.


SECTION 22 — PROHIBITED USES

You may use the Services only for lawful purposes.

You agree not to use the Services to:

  1. Violate applicable law;

  2. Commit fraud;

  3. Abuse payment systems;

  4. Submit fraudulent chargebacks;

  5. Harass or threaten others;

  6. Impersonate another person or entity;

  7. Submit intentionally false information;

  8. Upload malicious software;

  9. Gain unauthorized access to our systems;

  10. Circumvent security measures;

  11. Scrape, crawl, or collect website information without authorization;

  12. Collect personal data unlawfully;

  13. Infringe intellectual property rights;

  14. Distribute spam;

  15. Phish or engage in deceptive conduct;

  16. Abuse promotional programs;

  17. Interfere with website functionality;

  18. Resell products in violation of restrictions;

  19. Harm Cannoneer Apparel, Shopify, our providers, or our customers; or

  20. Otherwise violate these Terms.

We reserve the right to suspend or terminate access when we reasonably believe these Terms have been violated.


SECTION 23 — FRAUD AND CHARGEBACKS

You agree not to submit fraudulent or abusive payment disputes or chargebacks.

Before initiating a payment dispute, you should contact Cannoneer Apparel at:

and provide a reasonable opportunity for us to investigate the concern, except where prohibited by law or payment-provider rules.

Fraudulent transactions, abusive chargebacks, or payment fraud may result in:

  • Order cancellation;

  • Account restrictions;

  • Suspension;

  • Termination; and/or

  • Other lawful remedies.

Nothing in this section prevents you from exercising legal rights that cannot be waived.


SECTION 24 — CHARITABLE GIVING

Cannoneer Apparel may periodically support charitable organizations, veteran-focused causes, nonprofit organizations, community programs, or other charitable initiatives.

When Cannoneer Apparel advertises a specific donation program, the applicable promotional language or dedicated charitable giving page will identify the relevant:

  • Qualifying products;

  • Qualifying sales;

  • Donation amount or calculation;

  • Donation period;

  • Recipient organization or cause;

  • Donation schedule; and

  • Other applicable limitations.

Unless expressly stated otherwise, a purchase should not be interpreted as meaning that the entire purchase price is donated.

Cannoneer Apparel does not represent that a customer's purchase is tax-deductible as a charitable contribution.

Customers should consult an independent tax professional regarding the tax treatment of their purchases.

Any charitable giving program will be administered in accordance with applicable law.


SECTION 25 — DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

EXCEPT AS EXPRESSLY PROVIDED IN WRITING BY CANNONEER APPAREL, WE DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND DURABILITY.

WE DO NOT GUARANTEE THAT:

  • THE WEBSITE WILL ALWAYS BE AVAILABLE;

  • THE SERVICES WILL BE UNINTERRUPTED;

  • THE SERVICES WILL BE ERROR-FREE;

  • THE SERVICES WILL BE SECURE;

  • INFORMATION WILL ALWAYS BE ACCURATE;

  • PRODUCTS WILL ALWAYS BE AVAILABLE;

  • PRODUCTS WILL EXACTLY MATCH ONLINE IMAGES;

  • PRODUCTS WILL MEET EVERY INDIVIDUAL EXPECTATION;

  • DELIVERY DATES WILL BE GUARANTEED; OR

  • THIRD-PARTY SERVICES WILL ALWAYS OPERATE WITHOUT INTERRUPTION.

Nothing in these Terms excludes any warranty or consumer protection that cannot legally be excluded.


SECTION 26 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANNONEER APPAREL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND BUSINESS PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PURCHASE OF PRODUCTS.

SUCH DAMAGES MAY INCLUDE, WITHOUT LIMITATION:

  • LOST PROFITS;

  • LOST REVENUE;

  • LOSS OF BUSINESS;

  • LOSS OF DATA;

  • LOSS OF GOODWILL;

  • BUSINESS INTERRUPTION;

  • REPLACEMENT COSTS; OR

  • OTHER INDIRECT LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANNONEER APPAREL'S TOTAL LIABILITY ARISING FROM OR RELATED TO A SPECIFIC PRODUCT PURCHASE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO CANNONEER APPAREL FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Nothing in this section limits liability that cannot legally be limited or excluded.


SECTION 27 — INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Cannoneer Apparel and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, and business partners from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from:

  1. Your violation of these Terms;

  2. Your violation of applicable law;

  3. Your misuse of the Services;

  4. Your violation of another person's rights;

  5. Your User Content;

  6. Fraudulent or unlawful activity associated with your use of the Services;

  7. Your unauthorized use of our intellectual property; or

  8. Your intentional or negligent misconduct.

We reserve the right to assume control over the defense of any claim subject to indemnification.

You agree to reasonably cooperate with us in defending such claims.

We will not settle a claim imposing a material non-monetary obligation on you without your consent where such consent is legally required.


SECTION 28 — GOVERNING LAW

These Terms and any separate agreement under which Cannoneer Apparel provides Services shall be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal action arising from or relating to these Terms or the Services shall be brought in a court of competent jurisdiction in the State of Illinois unless applicable law requires a different forum.

You consent to the jurisdiction and venue of such courts to the extent permitted by applicable law.


SECTION 29 — DISPUTE RESOLUTION

Nothing in this section prevents you from exercising rights that cannot legally be waived or from using governmental, regulatory, or other legally available procedures.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

If the provision cannot be enforced, the unenforceable portion shall be severed.

The remaining provisions shall remain in full force and effect.


SECTION 31 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

These Terms, together with our Privacy Policy, Refund and Return Policy, Shipping Policy, and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and Cannoneer Apparel regarding your use of the Services.

These Terms supersede prior or contemporaneous agreements, representations, communications, and proposals concerning the same subject matter.


SECTION 32 — ASSIGNMENT

You may not assign, transfer, delegate, or otherwise transfer your rights or obligations under these Terms without our prior written permission.

Any attempted assignment that violates this section may be void.

By using the Services, you consent to receive electronic communications from Cannoneer Apparel where permitted by law.

  • Supplier shortages;

  • Manufacturing interruptions;

  • Public health emergencies; or

  • Other events beyond our reasonable control.

We will make reasonable efforts to resume affected Services when circumstances permit.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
